    If I recall right then MGABG is short for MGA BIOS Guard, so I would guess it prevents the card's BIOS from being overwritten... Maybe it also helps in BIOS upgrading.

    Edit: Matrox Support Forums says: "MGABG.EXE is the "BIOS guard" service, which re-flashes your video ROM on a regular basis (some power supplies can cause the Gx00 boards lose their BIOS)."

    So in short, if you have a good power supply and mobo and you don't use any beta software that could mess the BIOS up and/or know how to reflash the BIOS from DOS if you need to, then you can disable the service (if you find it disturbing).
