Help Please

For some reason my Matrox G400 MAX just does not want to work.... i have tried IRQ 9, 10, and 5 with 5.41 and 5.30 drivers on all IRQ's...my AGP apeture is at 256...i am currently running a duel celeron 366 ABIT BP6 mobo... 64 meg ram, IBM 18 GIG UATA66 7200RPM HD. the problem is that when i go into a game (quake2 for instance) and i hit ALT-TAB to go to desktop to check ICQ or something my computer will either. freeze. glitch horrible (almost like bad DSS reception) or get some kind of GL glimp frames failed error.. If anyone knows what is wrong please...any help would be greatly appreciated.

PS its not a defective board becuase i already sent it back and got a new one
