Prob with Win2K and Asus K7V...

[Electric Amish]

I installed an Asus K7V with an Athlon 650 and onboard sound and latest bios flash.
It has a Matrox G400 vid card. WD 10gb HD.

Initial install of Win2K goes fine, but when the Matrox drivers are downloaded and installed, upon the subsequent reboot I get a blue screen that says:

**Stop (bunch of addresses)
Page fault in non paged area
***Address 80062fc4 base at 80062000. Date stamp 381fc6e - hal.dll

This is with the latest Win2K drivers from Matrox.
Any solutions??
