Yes, there probably will be some performance gain in going to a K6-III, even at the same MHz. However, it won't be a world of difference. It might crank out a few more fps, and you might be able to tell the difference. I seriously doubt that you will be able to have smooth gaming one resolution level higher than you are currently running at.
To get a world of difference upgrade, get an Athlon. IMHO, save your $ for an Athlon upgrade.
