Bios driver 1012 was installed during OS win98. Then came the lastest Bios driver (1012b) after I installed OS Win2k.

Sorry it's probably perfectly clear but was win2k installed before the latest bios or the other way round? If the bios was installed after win2k then it will not be recognised by it until you re-install, just use the setup program on the CD.

Try turning the APM function on or off and making sure that acpi is enabled and that all automatic events such as snooze, standby etc are disabled in BIOS.

    Try downclocking your CPUs

I had similar problems with my ABit BP6 and two 366@550 celerys. After i installed win2k a couple of times it fixed itself, very weird.

A few stabs in the dark to be getting along with. Remove all you cards apart from the graphics card. If you can, disable the SCSI. Try the system now. Hopefully something will have changed.

    What Modem do you have?

ACPI is a pain in the rear, why microsoft had to screw with the power systems anymore is beyond me, win98 (not se) never had any probs so why ntot leave it alone. Gits!.

Do you actually have 2 processors in your board? If not you should really be using the 'Uniprocessor ACPI' option.
