I tried the WinDVD software package and it cured my flicker problem. Looks much better than the Cinemaster. I have just removed my CL Dxr3 decoder card. Great!!!

Just wanted to update this to see if anyone had any ideas to my picture quality problems in darker scenes when watching DVDMax - TVout.
Here's another piece of info which may or not be related. If I look at the picture on the monitor - either full screen or window, and then on the TV, it looks like the TV is missing some of the picture on the sides. (Ie, the monitor shows more of the scene than the TV). I'm wondering if some kind of scaling is occuring which 1) causes the TVout to lose the info on the sides, and 2) is introducing the ugliness I'm seeing as far as a grainy/low quality picture.
Any ideas? Please?

jd - Televisions normally have part of the picture off-screen (overscanning).
As far as your poor picture quality goes, it may be a matter of resolution output to your tv. I've heard that the best output resolution is 640x480. Also, the darkness may be a gamma issue. If you haven't already tried this, adjust the gamma on the tv output in your preferences. There are preferred settings in a readme.txt file in the driver files. Check these out.
