Millenium G400Max + P3V4X - Unable to Shutdown

Hi,
I'm in big trouble. After Installing of the new Asus P3V4X (BIOS 1003) and Matrox Millenium G400Max, I cann't shutdown the computer !!!
There is also Monster 3D II 12 MB in the next
slot connected to the Millenium.
I've took out all other cards but nothing helped.
Upon Shutdown or Restart I got a black screen with frozen cursor.

Please, give me your good advice.
BTW. Installing another AGP video card og unknown manufacturer working OK.

Try that. It's fixed all the shutdown problems I've had.
