Hi there,
I'm running W98SE on ASUS P2B with à G200 card. After reinstalling my whole system, i got troubles with display. Icons are black, as window backgroud, start menu...I don't understand what's going on. I have a lot of card on my PCI bus : WinTV, SBLive, Network card. it seems that drivers are unable to share irq correctly. I'm using the last driver from matrox site (not WHQL). Is it bad ?

it's not the drivers, it's the hardware ...

but exactly that seems to be your problem.

If you have one PCI slot free, choose the one next to the AGP port to be free and if that fails, leave the most bottom one (that is shared with your ISA slot) free and look again on your IRQ assignments.
Also goto PCI config in your MoBo's BIOS and set IRQ 5 to ISA legacy, DMA 1& 5 also to ISA legacy, set "PnP OS installed" to 'no' and try again.

A complete list of IRQs is always helpful for troubleshooting and all other available information too. (like BIOS revision of MoBo and gfx card, which exact drivers you use and how you got rid of your previous drivers)
