The program runs only at startup. Overclocking is done through permclk.exe and other tweaks are registry-related.

IMHO, the problem will be solved by formatting and installing Windows.

Well you might have corrupted the bios I suppose. However it still could be the matrox overclocking program thats causing the problem. I've caught out myself twice this way by forgetting to remove the program when uninstalling and re-installing drivers/ new motherboard and I end up with a garbled screen or nothing at all.
I booted in safe mode and used a program called startupcpl to disable it from the registry. I then could install the drivers without a problem.
If you do a search for this program you'll find plenty of links.

check autoexec for anything pointing to it
same for registery (do a search within for that program)

cant be that hard to solve

look in msconfig.exe if anything loads up at start
        check win.ini too

          It's win2k so the autoexec.bat shouldn't come into play.

From my research and your input, I'm convinced the MTSTU tweak is only software related and that the G400 Max card has not been changed physically, which is good to know. Does anyone know if this "tweak" program runs once during boot or is it running constantly ?

If all else fails, I will format and reinstall W2K.

            Thanks....JL
Okay, sorry I was a bit grumpy this morning, but I was going to try and help you, but you responded with garbage before I could...so I kind of felt jaded on the oportunity to help.

Okay, now do this step by step and don't skip any step, and follow it exactly:

Install the 5.72 drivers by using the setup.exe that got extracted. Reboot. Goto add/remove programs and select Matrox Software and uninstall. Reboot. Click cancel when prompted for video card drivers, once into windows, run the setup.exe for the 5.82 beta drivers. Reboot. If the problem persists, goto add/remove programs, select Matrox Software and uninstall. Reboot. Click cancel when prompted for your video card drivers. Once in windows run the setup.exe for the 5.71 drivers, reboot. You should be good to go. If not, boot with the Win2K cd, choose install, and when it detects the current install, then choose repair. This way you don't have to format.

Thanks everyone for your thoughts. I've done all the recommended, but to no avail. I've checked the programs being started at boot using Startup, checked all the sysedit files, searched the registry & every C:\ folder and even the W2K Services - nothing - no permclk.exe anywhere. I reflashed the BIOS also and everything is fine.

I did as The PIT did, tried to update the drivers with the card OC'd. It is ironic that I always had it running in TEMP mode until last week. BTW, I do remember seeing a DOS type of window appear once or twice, but it just stopped appearing. I guess that was the tweak program, but where did it go to ?

I've put in a ATI card for the time being until I can make the time to reinstall W2K.

                  Rags,
Thanks for your last post. You were grumpy and I was frustrated - bad combo.

I'll try what you recommended as soon as I get the time. I am sure the problem will be there for me to address when I put the G400 back in.

                  Regards...JL
