Wow. This MS thing is a pain in the rump. I've got to clean up my in-laws system because they didn't realize that the person who sold them their system was wearing an eye-patch and had a parrot on their shoulder. Though they've already said they want a Vista box once the OS hits, since you can build a new system relatively cheap (and their current box is rather old).
I believe, however, that Vista Ultimate will not require activiation. You have to register to get the Ultimate Experience (the Vista Ultimate users only content, programs and updates) and WGA is of course active to sniff out piracy. Though that's already been uh ... worked around.
