They sell software for dirt cheap. I've seen these kinds of sites before but always wondered how they do it? Is it a scam? What am I missing?

The first one (TopDownloads )is clearly not legal

The other one (software outlet) is legal in the way that they sell OEM and Academic and other specially cheap licences to just anybody.....

I don't think selling academic software to other people is legal.

I don't know any of the sites you linked to, but there are plenty of sites that sell mass-produced illegal copies that to ordinary customers might look like the real deal. This is illegal of course.
