i think there's something up with my ethernet card in pc#1 (server). pc#1 and pc #2 are connected to the hub. The activity light is always on for pc#2, but doesnt go on for pc#1. the network worked through netbeui, but doesnt work for tcp/ip. any solutions?

Sometimes Win9xs networking goes fubared.. have you tried removing the TCP/IP protocol from both machines and adding it again.
When you add it again remember to assign the 2 network cards that make up your local network IPs that can't be routed onto the internet (192.168.0.X works for me).

The activity light should only be solid for the cable modem nic.

Do you have the cable modem hocked to your hub with a patch or X-over cable? Is in a regular port or an up-link port?
Makes a big difference.
If it's in an up-link port you need a patch cable (what it was probable hocked to your PC with).
If it's in a regular port you need a cross-over cable (the send and transmite lines are crossed)
Let up know how you had it hocked up.

the modem should be directly to the nic, not the hub.

comp #1 has 2 network cards- 1 pci and 1 isa. th cable modem is hooked to the pci ethernet card and the isa is connected to the hub (linksys broadband network bridge model # hpes03) with "premium category 5 utp patch cable" that is 3 feet long.
comp#2 has a linksys home network phonline link card that is hooked to upstairs phone outlet. the connection is completed with a line from another phone outlet to the hub. i know the connection works because it worked through netbeui.

Ok, sorry to jump into this in the middle. Please tell me exactly what internet sharing solution you are using. Sygate, ICS, nat32, etc. OS's installed and how they are wired. And do a "ipconfig /all > ip.txt" from a command prompt without the quotes and post the info here too.Asus K7V

i've tried connecting them directly using the patch cable w/o connecting to the bridge before and i got the same problem. id prefer to use sygate, but if i can get wingate or nat32 to work, i wouldnt mind using those.
