This is widely known but I haven't seen it mentioned in this thread so...

If you have Win98 SE then there is a shutdown bug which requires patching from M$haft. haven't got the URL handy sorry.

Sometimes it's the obvious ones that are overlooked.

I have just disabled everything in the bios to do with power management.
I have not moved the sound card, but now the pc shuts down ok.
Also the sb 16 emulation is disabled in device manager and i deleted the 3 lines of text it had put in to the autoexec.bat.
Not too sure why this has cured the problem but i am glad it has worked.
