I have the same mainboard and processor as you with G400Max and have never had a problem with win98se shutting down. I have however installed ALL of the 4in1 drivers. I notice that you have a few ISA cards in there, perhaps these are causing you problems? Try pulling them, see if that shows you where the problem is.
Have you disabled fast shutdown in msconfig?
