Just a quick thanks to all the regular posters to these fori: I've finally gotten my system to shut down on command! There are so many threads dealing with this, maybe matroxusers could post an FAQ, Shutdown Solutions That Work? My course of action was
First (as suggested many times in these fori):
Check IRQ
Disable fast shutdown
Use msconfig to check what driver is causing problem
Updated:
PD Video Tools 1.52.033
DirectX 7.0a
Marvel driver 5.41.008
Tried:
Re-install, re-install, re-install...

What finally worked:
Tekram mobo BIOS 1.04 (release 3/24/00 to fix shutdown problems)
VIA AGP402.exe 4X/133 VxD (release 4/24/00)
Matrox Unified DOS Utilities ver 1.04 (release 8/3/99 to fix shutdown problems)
Matrox tweakutil.zip (release 4/20/00 to fix shutdown problems)
Didn't have to do:
PD registry hack
